GovernCore

Board portal software, for the board and every committee that reports to it.

GovernCore is where a company secretary builds the meeting and a director prepares for it: one pack per meeting, a briefing on every paper, conflicts to declare, minutes drafted from the meeting, and resolutions signed against their wording.

One pack, not a folder of attachments

The secretary builds the agenda item by item, with a presenter, a time and a purpose: for noting, for discussion or for decision. Papers are attached to the item they belong to. Publishing merges them into one document with a cover, a contents page and continuous page numbers, and every director's copy carries their own name.

Before it goes out, the pack is checked: decision items with no paper, papers that make no recommendation, papers without a date, and figures that disagree between papers. A late paper becomes an addendum in a new version, and nobody loses the version they already annotated.

A briefing on every paper

Every pack opens with a briefing for the director: what each paper is about, what the board is asked to decide, and the figures that matter, quoted as the paper gives them. Papers that are new since the last version are marked. The briefing is a guide written from the papers; the papers remain the record.

Directors can also ask the record in plain words what was decided on a matter, when, and under which resolution, and see the minutes and resolutions the answer came from.

Conflicts of interest, before the meeting

Each person keeps a register of interests and of gifts and hospitality. When the pack is published, the agenda and papers are read against those registers: a company named in a paper, a bidder that subcontracts to a director's firm, a gift from a supplier during a tender. The person concerned is prompted privately, and one click fills in the declaration.

Declarations are recorded against the item they concern, recusals are respected in the count, and both are printed into the minutes.

Minutes and resolutions

  • An AI note taker joins online meetings and sends draft minutes afterwards; meetings held in person work from an uploaded transcript.
  • Minutes are drafted from the agenda, the attendance and the declarations, circulated for comment, adopted at the next meeting, then locked and fingerprinted.
  • Resolutions are passed in the meeting or by round robin, with quorum, thresholds and recusals. Each vote is signed against the exact wording.
  • Resolution wording can be drafted from the paper's recommendation and read against the organisation's delegation of authority.
  • Matters arising come forward from earlier meetings with the actions still open.

With the registers behind it

The board does not oversee papers; it oversees the risks, the controls, the obligations and the audit findings the papers report on. In GovernCore those registers live on the same record, and any of them can be frozen into the next pack as a numbered paper. See audit, risk and compliance software for that side.

Questions asked

1What is a board portal?

A board portal is the place a board and its committees meet on paper: the agenda, the pack of papers, the minutes, the resolutions and the declarations of interest, with the right people seeing the right papers. GovernCore adds the registers the board oversees, so a paper can be backed by the risk, compliance or audit record it came from.

2How are late papers handled?

A paper added after the pack is published becomes an addendum. Publishing again creates a new version of the pack; the version a director already read stays as it was, and the briefing marks what is new.

3Can committees use it as well as the board?

Yes. Each committee has its own members, quorum rule, meetings, packs and minutes. A director who sits on several committees, or several boards, signs in once and sees each separately.

4How are conflicts of interest handled?

Before the meeting, the agenda and its papers are read against each person's register of interests and gifts. A director is prompted privately to declare, and a declaration with a recusal is printed into the minutes and respected in the vote.

5Can directors read the pack on a tablet?

Yes, in the browser on any tablet or laptop. Each copy is watermarked with the reader's name, and private notes stay on the paper and page even when the pack is republished.

6Are the minutes written automatically?

They are drafted, not decided. The note taker or the secretary's notes produce draft minutes per agenda item; the secretary places them, the committee comments, and the minutes are adopted at the next meeting and then locked.
