Terms
Updated 16 October 2026
In short. Your organisation's records stay its own. You keep your password to yourself and use GovernCore for your organisation's work. Drafts from the assistant are drafts for a person to check. Where your organisation has a signed agreement with Nei Shot, that agreement comes first.
1. The agreement
These terms are between Nei Shot WebX Solutions CC (CC/2025/02042) and the organisation that subscribes to GovernCore, and they also bind each person who signs in. Using GovernCore means accepting them. If your organisation has signed a separate agreement or order with Nei Shot, it prevails where the two differ.
2. The service
GovernCore keeps an organisation's board, risk, compliance and internal audit records on one record, with the features described on this website. We may improve and change features; we will not remove one your organisation relies on without telling it in good time.
3. Accounts
- Your organisation's administrator decides who has an account and with which roles, and removes accounts that are no longer needed.
- An account is for one person. Keep your password to yourself, and tell your administrator at once if you think someone else has used it.
- Your organisation is responsible for what is done under its accounts.
4. Your records
Everything your organisation puts into GovernCore remains its own. It gives Nei Shot the right to host, copy, display and process it only to provide the service, under the data processing terms. Your organisation is responsible for having the right to put it there, including personal information about the people it names. Every register can be exported at any time, and a full export is provided on request when the subscription ends.
5. Acceptable use
Use GovernCore lawfully and as the acceptable use page sets out.
6. The assistant
The assistant drafts text from the record when asked. A draft can be wrong or incomplete; it is shown as a draft, with the records it drew on, and becomes part of the record only when a person adopts it. Your organisation remains responsible for what it adopts, files or sends. It can switch the assistant off.
7. Services you connect
Microsoft 365, Zoom, Tuma and other services your organisation connects are provided under its own terms with them. Nei Shot is not responsible for them, though it will help when a connection does not work.
8. Availability
We aim to keep GovernCore available at all times, and do maintenance at quiet hours with notice where we can. Any service level your organisation has agreed in writing applies. We are not responsible for failures caused by things outside our reasonable control, such as a failure of the internet or of a provider's data centre.
9. Fees
Fees are those in your organisation's quotation or order. Invoices are payable as they state.
10. Suspension and ending
We may suspend an account that is being used against these terms or that threatens the security of the service, and will tell the organisation why. Either party may end the subscription as its order provides. When it ends, your organisation may collect a full export for 90 days, after which its records are deleted.
11. Liability
Nothing in these terms limits liability that cannot be limited by law. Otherwise, neither party is liable for indirect or consequential loss, and Nei Shot's total liability in any twelve months is limited to the fees your organisation paid in those twelve months.
12. Law and disputes
These terms are governed by the laws of the Republic of Namibia. The parties first try in good faith to settle a dispute between them; if they cannot within 30 days, the courts of Namibia decide it.
13. Changes
The date at the top shows when these terms last changed. We tell organisations of a change that matters 14 days ahead.
